TERMS AND CONDITIONS OF SERVICE

Effective from: 01 January 2025

These Terms and Conditions (“T&Cs”) apply to all services provided by Verity Digital (Pty) Ltd (“Verity Digital”, “we”, “us”, “our”) to its clients (“you”, “your”). By engaging our services, you agree to these T&Cs.

1. SERVICES OFFERED

1.1 Verity Digital provides digital marketing services including, but not limited to:

  • Social media marketing and management

  • Influencer campaign strategy and management

  • Content creation and paid ad campaigns

  • Graphic design, video editing, and brand development

  • Digital consultancy and reporting

1.2 A detailed Scope of Work (SOW) or proposal will be provided per project.

2. ENGAGEMENT & PROJECT COMMENCEMENT

2.1 Work begins upon written approval of the proposal/quote and signing of a service agreement.
2.2 Verity Digital reserves the right to refuse service if client materials are not delivered timeously or if full upfront payment (where required) has not been received.
2.3 Turnaround times are calculated from the date of final briefing and receipt of all necessary materials.

3. PAYMENT TERMS

3.1 Payment terms are 50% deposit and 50% on final delivery, unless otherwise agreed.
3.2 Retainer agreements are invoiced monthly in advance and are payable within 7 days.
3.3 Late payments will attract interest at 2% per month on the overdue amount.
3.4 All prices are quoted in South African Rand (ZAR) and exclusive of VAT unless stated otherwise.

4. CLIENT RESPONSIBILITIES

You agree to:

  • Provide timely feedback, content, and approvals.

  • Ensure that all materials you provide (images, logos, etc.) are owned by or licensed to you.

  • Grant Verity Digital the right to use such materials strictly for the scope of work.

5. INTELLECTUAL PROPERTY

5.1 All original creative work produced by Verity Digital (graphics, videos, strategies, etc.) remains the property of Verity Digital until full payment has been received.
5.2 Upon full payment, ownership rights are transferred to the client, unless otherwise stated.
5.3 Verity Digital may retain the right to showcase completed work in its portfolio.

6. CONFIDENTIALITY

Both parties agree to keep confidential all proprietary and sensitive information received from one another, including strategy documents, pricing, contacts, and internal operations. This obligation continues for 2 years after the termination of services.

7. CANCELLATIONS & TERMINATION

7.1 Month-to-month agreements require 30 days' written notice for cancellation.
7.2 Fixed-term project cancellations will incur a cancellation fee proportionate to the completed work and hours expended.
7.3 Verity Digital reserves the right to cancel a project with immediate effect in the case of abuse, non-payment, or breach of this agreement.

8. LIMITATION OF LIABILITY

8.1 Verity Digital will not be held liable for any indirect or consequential losses, damages, or claims resulting from the use or misuse of services provided.
8.2 In any event, liability is limited to the amount paid by the client for the specific project or month in dispute.

9. INFLUENCER CAMPAIGNS (IF APPLICABLE)

9.1 All influencer collaborations are bound by campaign-specific briefs, guidelines, and individual influencer contracts.
9.2 Verity Digital cannot guarantee influencer performance beyond the agreed scope or metrics beyond platform control (e.g., algorithm changes, reach).
9.3 Influencer selection and performance shall be monitored, but ultimate liability remains limited to service delivery and management, not third-party conduct.

10. POPIA COMPLIANCE & DATA PROTECTION

10.1 Verity Digital complies with the Protection of Personal Information Act (POPIA).
10.2 All client and consumer data collected or accessed during services shall be:

  • Used strictly for campaign or service purposes

  • Stored securely and not shared without consent

  • Deleted upon request or contract termination

11. DISPUTES AND GOVERNING LAW

11.1 These T&Cs are governed by the laws of the Republic of South Africa.
11.2 Any disputes shall be resolved first through negotiation, then mediation or arbitration if necessary.
11.3 The parties agree to submit to the jurisdiction of the South African courts.

12. GENERAL PROVISIONS

  • These T&Cs may be updated from time to time with reasonable notice.

  • No waiver or amendment shall be valid unless in writing and signed.

  • If any provision is deemed unenforceable, it shall not affect the rest of the agreement.
